Article 1 - Definitions1.1. In these terms and conditions, the following definitions apply:"Client": the natural or legal person who has commissioned Starter Compass to provide services.
Article 2 - Applicability2.1. These general terms and conditions apply to all offers, proposals, agreements, and deliveries of services by Starter Compass.2.2. Deviations from these general terms and conditions are only valid if expressly agreed upon in writing.
Article 3 - Offers and Proposals3.1. All offers and proposals by Starter Compass are non-binding unless agreed otherwise in writing.3.2. A composite quotation does not obligate Starter Compass to execute part of the order for a corresponding part of the quoted price.
Article 4 - Execution of the Assignment4.1. Starter Compass will execute the assignment to the best of its knowledge and ability and in accordance with the requirements of good craftsmanship.4.2. If and insofar as proper execution of the assignment requires it, Starter Compass has the right to have certain tasks performed by third parties.
Article 5 - Prices and Payment5.1. The rates applied by Starter Compass are exclusive of VAT and any other government-imposed levies.5.2. Payment must be made within 30 days of the invoice date, unless otherwise agreed in writing.
Article 6 - Delivery Periods6.1. The delivery periods stated by Starter Compass are indicative and cannot be considered final deadlines.6.2. Exceeding a delivery period does not entitle the client to compensation unless there is intent or gross negligence by Starter Compass.
Article 7 - Liability7.1. Starter Compass is only liable for direct damage that is the direct result of an attributable shortcoming in the execution of the assignment.7.2. The liability of Starter Compass is limited to the maximum amount of the payment made by the insurer of Starter Compass.
Article 8 - Intellectual Property8.1. All intellectual property rights arising from the execution of the assignment rest with Starter Compass, unless otherwise agreed in writing.8.2. The client is not permitted to reproduce or disclose materials provided by Starter Compass without written permission.
Article 9 - Confidentiality9.1. Both parties are obliged to maintain confidentiality of all confidential information they have obtained within the framework of their agreement from each other or from another source.9.2. Information is considered confidential if it has been communicated as such by the other party or if it arises from the nature of the information.
Article 10 - Termination of the Agreement10.1. Both parties can terminate the agreement in writing at any time with a notice period of one month.10.2. Upon termination of the agreement, the client must reimburse all services already provided and costs incurred.
Article 11 - Force Majeure11.1. Starter Compass is not obliged to fulfill any obligation if it is prevented from doing so due to force majeure.11.2. Force majeure is understood to mean any circumstance beyond the control of Starter Compass that prevents the fulfillment of obligations to the client in whole or in part.
Article 12 - Applicable Law and Disputes12.1. All legal relationships involving Starter Compass are exclusively governed by Belgian law.12.2. Disputes between Starter Compass and the client will exclusively be submitted to the competent court in the district where Starter Compass is established.
